Terms of Service

These terms and conditions are an agreement between you ("Customer, Client") and the 3DMA Ltd. ("ADspot, Us"). By placing an order with us by filling the campaign activation form available after the payment process you acknowledge that you have read, fully understood, and agreed to these terms and conditions.

1. GENERAL DATA

1. 1.1. COPYRIGHTS

   Content copying and duplication are prohibited. You may not copy, modify, publish, transmit, distribute, display, or sell our website and self-serve platform content.

2. 1.2. ELIGIBILITY

   By using ADspot and the Service provided by us, you represent and warrant that all registration information you submit is correct and accurate and that you agree to maintain the accuracy of such information. Your Membership is solely for your personal/business use, and you shall not authorize others to use your account, including your profile or email address.

3. 1.3. TERM/FEES

   This Agreement shall remain in full force and effect while you use the ADspot self-serve platform (the Service provided). You may terminate your membership at any time. By using the Service and by becoming an Advertiser, you acknowledge that ADspot has the right to terminate your membership if you breach this Agreement without prior notification. No fees are required for being a ADspot registered member.

2. TERM OF USE

1. 2.1. PAYMENT

   ADspot self-serve platform works only on prepaid basis. All the payments must be done trough the accepted payment gateways: PayPal, Coinify (Bitcoins), Webmoney, Stripe and Credit/Debit Cards (Visa, MasterCard, American Express, JCB, Discover, Diners Club). Unused advertising credits will expire after 12 months.

2. 2.2. PROMOTED WEBSITES

   We will not deliver traffic to the following websites:

   • websites containing illegal/inappropriate content or which link to such content
   • websites which proved to make use of malicious codes or are marked as virus infected on scan
   • websites who deliver impressions generated from traffic exchange platforms
   • websites containing illegal/inappropriate content or which link to such content
   • websites used to generate bot traffic
   • under construction websites or with very little content.

3. 2.3. THE LANDING PAGE

   Landing pages which are not accepted:

   • Landing page with background sounds and music.
   • Pages with redirection are not allowed.
   • Pages with additional pops.
   • Pages which disable the closing pop window option.
   • Pages with malicious codes.

4. 2.4. PUBLISHERS

   Websites which contain any of the following content below will not be approved:

   • Pornographric or adult content (PG-13 is accepted).
   • Violent content.
   • Hate speech (including content that incites hatred or promotes violence against individuals or groups based on race or ethnic origin, religion, disability, gender, age, veteran status, or sexual orientation/gender identity), harassment, bullying, or similar content that advocates harm against an individual or group.
   • Excessive profanity.
   • Hacking/cracking content.
   • Software such as desktop plugins.
   • Malware or adware.
   • Illicit drugs and drug paraphernalia content.
   • Content that promotes, sells, or advertises products obtained from endangered or threatened species.
   • Sales of beer or hard alcohol.
   • Sales of tobacco or tobacco-related products.
   • Sales of prescription drugs.
   • Sales of weapons or ammunition (e.g., firearms, firearm components, fighting knives, stun guns).
   • Sales or distribution of coursework or student essays.
   • Content regarding programs which compensate users for clicking ads or offers, performing searches, surfing websites or reading emails.
   • Any other content that is illegal, promotes illegal activity or infringes on the legal rights of others.

5. 2.5. LEGAL

   Customer agrees that will not make use or spread harmful codes using ADspot self-serve platform. You will be solely responsible for your illegal actions.

   Any illegal attempt to use the system will be reported to competent authorities without your prior notice.

3. AFFILIATE PROGRAM

1. 3.1. The Affiliate Program allows registered Customers to receive financial rewards for purchases made by other Customers that they have referred (invited) to ADspot. The Affiliate Program information is available at https://adspot.co/affiliate.
2. 3.2. Every Customer receives a non-editable default Affiliate Code at registration.
3. 3.3. Customers are allowed to advertise, post and/or publish materials with their Affiliate Link(s) on third-party websites or resources for the purpose of acquiring new Affiliates.
4. 3.4. ADspot is not responsible for the accuracy and/or validity of information in any advertisements, posts and/or publications about ADspot created by Customers on any third-party websites or resources, with a Affiliate Link or without.
5. 3.5. In order for a Customer to become a Affiliate to a new Customer, the latter must visit ADspot via the first Customer's Affiliate Link and create an eligible Account within 24 hours after the first visit and within the same browser session (switching browsers, clearing browser cache or allowing more than 24 hours to pass between the first visit and the moment of registration invalidates the Affiliate Code saved in the browser session). If the Affiliate Code is invalidated by any of these occurring, the potential Affiliate must visit ADspot with via a Affiliate Link again.
6. 3.6. The default Affiliate profit percentage for any Affiliate Code is 5%.
7. 3.7. If a Customer has visited ADspot by a link from an Affiliate Network and made a Purchase within 7 days, ADspot grants the profit only to the Affiliate Network that handles the earnings on its own terms. This is valid even if the Customer has an Affiliate.
8. 3.8. Registering an Account after visiting ADspot by a link from an Affiliate Network will result in the profit for all Purchases made by the Customer. This is valid even if the Account is registered via a ADspot Affiliate Link.
9. 3.9. ADspot is not obliged to link 2 Accounts into the Referrer-Referral relation in case the new Account was registered without a Affiliate Link in error and/or add any Referral profits for past purchases retroactively.
10. 3.10. It is strictly forbidden to create additional Accounts for the purpose of abusing the Affiliate Program and/or third-party Affiliate Network(s), i.e. registering new Accounts via Customer's own Affiliate Link(s) and making purchases to receive Affiliate profit for said purchases for the same Beneficiary. If ADspot has any suspicion of abreach, ADspot reserves the right to request proof of identity and/or absence of abuse for both the Referrer's and Referral's Accounts. If proof is not provided within 7 days or provided proof is deemed insufficient and/or invalid, ADspot may terminate all related Accounts and nullify the Accounts' Balances without the right of redemption or restoration.
11. 3.11. ADspot may adjust and/or remove any Affiliate Code, its Affiliate profit percentage and any received Affiliate profit.
12. 3.12. It is strictly forbidden to use the following types of traffic:

14. 3.12.2. Redirect;
15. 3.12.3. Spam.
16. 3.13. ADspot reserves the right to terminate any Account's access to the Affiliate Program or any Account's ability to participate in the Affiliate Program at any time or reason.

4. DISCLAIMERS

The Website and the Service are provided 'AS-IS' and ADspot expressly disclaims any warranty of fitness for a particular purpose or non-infringement. ADspot cannot guarantee and does not promise any specific results from use of the Website and/or the Service.

5. INDEMNITY

You agree to indemnify and hold ADspot, its subsidiaries, affiliates, officers, agents, and other partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorney's fees, made by any third party due to or arising out of your use of the Service in violation of this Agreement and/or arising from a breach of this Agreement and/or any breach of your representations and warranties set forth above.
